1. Agreement to Terms

By accessing or using the services of Zalaba Design AG (“Company,” “we,” “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Zalaba Design AG provides interior design, custom furniture design, FF&E management, and related consulting services. The specific scope, deliverables, and terms of each project will be outlined in a separate project agreement or proposal.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your project requirements
• Grant necessary access to project sites as required
• Respond to requests for approvals and feedback in a timely manner
• Make payments according to agreed-upon schedules
• Obtain any required permits or permissions for construction or renovation work

4. Intellectual Property

All designs, drawings, specifications, and other materials created by Zalaba Design AG remain our intellectual property until full payment is received. Upon complete payment, clients receive a license to use the designs for their intended purpose. We retain the right to photograph and publish completed projects for portfolio and marketing purposes unless otherwise agreed in writing.

5. Payment Terms

Payment terms will be specified in your project proposal or contract. Generally:

• A deposit is required before work commences
• Progress payments may be required at project milestones
• Final payment is due upon project completion
• Late payments may incur interest charges as specified in the contract

6. Project Changes

Any changes to the agreed scope of work must be documented in writing. Additional work may result in adjusted timelines and costs, which will be communicated and agreed upon before proceeding.

7. Limitation of Liability

Zalaba Design AG shall not be liable for any indirect, incidental, or consequential damages arising from our services. Our total liability shall not exceed the fees paid for the specific service giving rise to the claim. We are not responsible for delays caused by third-party suppliers, contractors, or circumstances beyond our control.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. This includes design concepts, business information, and personal details.

9. Termination

Either party may terminate the engagement with written notice as specified in the project contract. In case of termination, the client shall pay for all work completed and expenses incurred up to the termination date.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Switzerland. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.
